Common questions
Federal or provincial incorporation?
Federal gives name protection across Canada and suits businesses operating in more than one province, at the cost of extra provincial registrations. Provincial is simpler and cheaper if you operate in one province. Neither affects tax rates.
Do I need to incorporate to get business funding?
Not for most alternative lenders, who fund sole proprietorships on revenue. You do need it for SR&ED and IRAP, which both require an incorporated Canadian business.
What does a minute book actually do?
It holds your articles, registers of directors and shareholders, and resolutions. You will be asked for it by any lender doing serious due diligence, by an accountant at year end, and by a buyer if you ever sell. The cheap incorporation packages frequently leave it out.
